Welcome to SEOAI ("Platform", "Service", "we", "us", or "our"), operated by SEOAI and accessible at seoai.space. By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Definitions

• "Account" means a registered user account on the Platform.
• "Client" means a business entity whose domain and information is managed through the Platform by a User.
• "Content" means all data, text, information, and materials submitted to or generated by the Service.
• "SEOAI Page" means a publicly accessible business profile page hosted on the Platform.
• "User", "you", "your" means any individual or entity that accesses or uses the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To access certain features, you must create an Account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your login credentials.
• Notify us immediately of any unauthorized use of your Account.
• Accept responsibility for all activity that occurs under your Account.

4. Service Description

SEOAI provides tools to measure, monitor, and optimize business visibility across AI search engines (such as ChatGPT, Gemini, Perplexity, Claude, and others) and traditional web search engines (such as Google and Bing). The Service includes:

• AI Visibility and Web Search scoring and auditing.
• Site audit with prioritized findings and recommended fixes.
• Auto-generated SEOAI Pages with structured data for AI and web discoverability.
• Intent campaign tracking and monitoring.
• Content generation tools and optimization recommendations.
• Monthly reporting and progress tracking.

5. Subscription Plans and Billing

5.1 Plans

The Service offers tiered subscription plans (Silver, Gold, Platinum) with varying feature limits. The Silver plan is free. Paid plans are billed monthly via Stripe.

5.2 Payment

By subscribing to a paid plan, you authorize us to charge the applicable fees to your payment method on a recurring monthly basis. All fees are quoted in US Dollars (USD).

5.3 Cancellation

You may cancel your subscription at any time through the dashboard. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial months.

5.4 Price Changes

We reserve the right to change pricing with 30 days' prior notice. Continued use after the effective date constitutes acceptance of the new pricing.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Submit false, misleading, or fraudulent business information.
• Attempt to gain unauthorized access to the Service, other accounts, or systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Use automated tools to scrape, crawl, or extract data from the Service beyond its intended use.
• Resell or redistribute access to the Service without our prior written consent.
• Upload malicious code, viruses, or any harmful material.

7. Intellectual Property

7.1 Our IP

The Service, including its design, code, algorithms, scoring methodologies, branding, and documentation, is owned by SEOAI and protected by applicable intellectual property laws. Nothing in these Terms grants you ownership rights to the Service.

7.2 Your Content

You retain ownership of the business information and data you submit. By submitting Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that Content solely for the purpose of operating and improving the Service, including generating SEOAI Pages, structured data, and AI-readable profiles.

8. SEOAI Pages and Public Profiles

When you create a Client profile, the Service may generate a publicly accessible SEOAI Page containing business information, structured data, and AI-readable metadata. You acknowledge and agree that:

• SEOAI Pages are publicly visible and indexed by search engines and AI systems.
• You are responsible for the accuracy of the business information displayed.
• You may request removal of an SEOAI Page by deleting the associated Client profile.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that:

• Your business will appear in any specific AI search result or web search ranking.
• AI systems will cite, recommend, or reference your business or SEOAI Page.
• Scores, audits, or recommendations will produce specific visibility outcomes.
• The Service will be uninterrupted, error-free, or secure at all times.

AI search visibility depends on many external factors beyond our control, including AI model training data, algorithm changes, and third-party platform policies.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEOAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

Our total aggregate liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless SEOAI and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the Service, your Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your Account at any time if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

14. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or email. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Tokyo, Japan.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and SEOAI regarding the Service and supersede all prior agreements, representations, and understandings.
